NEW YORK, Oct. 3, 2011 /PRNewswire/ -- Levi & Korsinsky is investigating the Board of Directors of Pharmaceutical Product Development, Inc. ("PPD" or the "Company") (NASDAQ: PPDI) for possible breaches of fiduciary duty and other violations of state law in connection with the sale of the Company to an affiliate of The Carlyle Group and Hellman & Friedman.  Under the terms of the transaction, PPD shareholders will receive $33.25 per share of PPD stock they own.  The transaction has a total approximate value of $3.9 billion.

The investigation concerns whether the PPD Board of Directors breached their fiduciary duties to PPD stockholders by failing to adequately shop the Company before entering into this transaction and whether The Carlyle Group and Hellman & Friedman are underpaying for PPD shares, thus unlawfully harming PPD stockholders.  In particular, at least one analyst set a price target of $38.00 per PPD share.
