    consideration to fair value ($3.5 million), reorganization costs ($13.0 million) on
    the transfer of manufacturing from Owings Mills to a third party and the
    establishment of an international commercial hub in Switzerland, and tax effect of
    adjustments; and

(d) Depreciation reclassification: Depreciation of $54.3 million included in Cost of
    product sales, R&D costs and SG&A costs for US GAAP separately disclosed for the
    presentation of Non GAAP earnings.
