Neusoft Medical cherche à acquérir des actions détenues par Philips dans la coentreprise Philips-Neusoft Medical Systems

SHENYANG, Chine, 6 février 2013 /PRNewswire/ -- Neusoft Corporation (« Neusoft », SSE : 600718) a annoncé aujourd'hui avoir signé des conditions générales avec Philips, relatifs à la proposition de transaction d'actions et d'actif au profit de Philips et Neusoft Medical Systems Co., Ltd. (« PNMS »). Selon les conditions générales, Neusoft Medical System Co. Ltd. (« Neusoft Medical »), filière en propriété exclusive de Neusoft, et ses collaborateurs internationaux, ont l'intention d'acquérir 51 % des actions de PNMS détenues par Philips. Une fois la proposition de transaction finalisée, Neusoft et Philips se partageront tous les droits de propriété intellectuelle de PNMS. En outre, le projet prévoit le transfert de la coentreprise à Philips d'une équipe d'environ 100 à 150 ingénieurs en composants et tomodensitométrie et membres du personnel administratif.

Selon Neusoft, la coentreprise a rempli sa mission ces dernières années, comme en témoigne un ensemble de produits compétitifs et de droits de propriété intellectuelle. Les résultats satisfaisants de PNMS ont posé des bases solides pour que les deux parties puissent encore optimiser leur déploiement international respectif et gagner en compétitivité. Grâce à cette transaction, Neusoft et Philips pourront développer de nouveaux produits en s'appuyant sur leurs précédentes réussites, avec plus de flexibilité tout en suivant leurs stratégies respectives. Ainsi, il leur sera possible de consolider leurs objectifs et leurs projets stratégiques sur le long terme, tout en les aidant à mieux relever de nouveaux défis et saisir de nouvelles opportunités sur le marché mondial.
