(2)Explanatory Notes:(1) To reflect an estimated annual effective tax rate of 34% for the second quarter and full year of fiscal 2011 on a non-GAAP basis.

(2) We expect estimated diluted weighted average shares outstanding of 264,000 for the second quarter and 265,000 for the full year of fiscal 2011.Use of Non-GAAP Financial Measures:The Company has presented the following non-GAAP financial measures in this press release: adjusted net income; adjusted EPS; and adjusted EBITDA. The Company defines its non-GAAP adjusted net income to exclude the non-cash amortization of intangible assets, other acquisition-related charges, such as change in contingent consideration, transaction costs, charges associated with the write-off of acquired in-process research and development and the write-up of acquired inventory to fair value, non-cash charges resulting from changes in GAAP, closure and restructuring charges, non-cash loss on exchange of convertible notes, and one-time, nonrecurring, unusual or unanticipated charges, expenses or gains. As set forth in the applicable reconciliation tables above, non-GAAP adjusted net income and non-GAAP adjusted EPS for the periods presented exclude the following items from GAAP net income and EPS: (i) non-cash expenses associated with the Company's recent acquisitions, including amortiza
