GSI Group Announces Financial Results for the Third Quarter 2013

ons was an incremental $1.7 million of amortization of intangibles and acquisition fair value adjustments related to the NDS acquisition, and approximately $1.5 million of restructuring charges, compared to $2.7 million of restructuring charges in the third quarter of 2012.  

Diluted earnings per share ("EPS") from continuing operations was $0.06 in both the third quarter of 2013 and the third quarter of 2012.  Non-GAAP earnings per share, a non-GAAP financial measure that includes the adjustments noted in the reconciliation below, was $0.15 in the third quarter of 2013, compared to $0.12 in the third quarter of 2012.  Included in the third quarter of 2013 non-GAAP earnings per share was ($1.6) million of foreign exchange transaction losses, or approximately ($0.03) per share.

Adjusted EBITDA, a non-GAAP financial measure that includes the adjustments noted in the reconciliation below, was $13.7 million in the third quarter of 2013, compared to $10.8 million in the third quarter of 2012. 

As of September 27, 2013, cash and cash equivalents was $53.7 million, while total debt was $78.4 million. The Company completed the third quarter of 2013 with approximately $24.7 million of Net Debt, as defined in the non-GAAP reconciliation below. 

Operating cash flow for the third quarter of 2013 was $16.8 million, compared to $2.6 million of operating cash flow in the third quarter of 2012. Operating cash flow includes the cash flows of both continuing and discontinued operations.  During the fourth quarter of 2012, the Company reached a settlement agreement with the Internal Revenue Service and Department of Justice regarding the IRS audit for the Company's 2000 through 2008 tax years.  The Company received cash refunds of $12.5 million in the third quarter of 2013 in connection with this settlement.  In addition, the Company expects to realize the benefit relating to the carryback and carryforward of certai
