Catalent Pharma Solutions, Inc. Announces Cash Tender Offer for up to $250 Million of Its 9-1/2%/10-1/4% Senior PIK-Election Notes due 2015

SOMERSET, N.J., Sept. 4, 2012 /PRNewswire/ -- Catalent Pharma Solutions, Inc. ("Catalent") announced today that it has commenced an offer to purchase for cash (the "Offer") up to $250 million (the "Tender Cap") aggregate principal amount of its outstanding 9-1/2%/10-1/4% Senior PIK-Election Notes due 2015 (the "Notes").  The terms and conditions of the Offer are described in the Offer to Purchase, dated September 4, 2012 (the "Offer to Purchase"), and the related Letter of Transmittal (the "Letter of Transmittal").

The Offer will expire at 11:59 p.m., New York City time, on October 1, 2012 unless extended by Catalent (such time and date, as may be extended, the "Expiration Date").  Holders of Notes that validly tender and do not validly withdraw their Notes in the Offer at or prior to 5:00 p.m., New York City time, on September 17, 2012 (the "Early Tender Date"), and whose Notes are accepted for purchase by Catalent will be entitled to receive the total consideration of $1,027.50 per $1,000 principal amount of Notes tendered and accepted for purchase (the "Total Consideration"), which includes the early tender payment of $27.50 per $1,000 principal amount of
