STATEMENT REGARDING THE OFFER AND AMENDMENT OF ACCEPTANCE CONDITIONSummary

On 5 August 2011, Alere AS Holdings made a cash offer to acquire the entire issued (and to be issued) share capital of Axis-Shield, not already held by it, at an offer price of 460 pence per Axis-Shield Share (the "Offer").

Since Alere's announcement of a possible offer for Axis-Shield on 6 July 2011, Axis-Shield has released a number of announcements, including its Interim Results for the six months ended 30 June 2011 (the "Interim Results"), its shareholder circular (the "Defence Document") and an announcement dated 19 September 2011, none of which have revealed any material new information that has altered Alere's view on Axis-Shield's value.

Furthermore, since 6 July 2011, there has been persistent negative economic news flow and continued stock market turmoil, which has resulted in approximately a 20 per cent. downward adjustment to the trading value of Axis-Shield's industry peers (as at 23 September 2011, being the latest practicable date prior to publication of this Announcement).

The Board of Alere has also maintained that it will remain financially disciplined. Whilst Alere believes that Axis-Shield would be a complementary fit to its existing businesses, it also is of the view that there are alternative acquisitions, particularly in light of current valuations and market conditions, that it could p
