A Neusoft Medical pretende adquirir ações da joint venture da Philips, a Philips-Neusoft Medical Systems

SHENYANG, China, 5 de fevereiro de 2013 /PRNewswire/ -- A Neusoft Corporation ("Neusoft", SSE: 600718) anunciou hoje que assinou um termo de compromisso com a Philips sobre a transação proposta de ações e ativos da Philips and Neusoft Medical Systems Co., Ltd. ("PNMS"). De acordo com o termo de compromisso, a subsidiária integral da Neusoft, a Neusoft Medical System Co., Ltd. ("Neusoft Medical") e suas associadas estrangeiras pretendem adquirir 51% das ações da PNMS detidas pela Philips. Após a conclusão da transação proposta, todos os direitos de propriedade intelectual da PNMS serão compartilhados por ambas as empresas. Além disso, uma equipe de aproximadamente 100 a 150 engenheiros de sistemas e componentes de Tomografia Computadorizada (CT) e uma equipe de apoio serão transferidas da joint venture para a Philips.

De acordo com a Neusoft, a joint venture cumpriu sua missão ao longo dos últimos anos, conforme comprovado por um grande número de produtos competitivos e direitos de propriedade intelectual. O bom desempenho da PNMS criou uma base sólida para ambos os lados, otimizando ainda mais a respectiva implementação mundial de cada uma e melhorando a competitividade delas. Com esta transação, a Neusoft e a Philips serão capazes de desenvolver novos produtos com base em suas realizações anteriores de uma forma mais flexível, de acordo com suas respectivas estratégias, que continuarão a apoiar as suas metas e planos estratégicos de longo prazo, para ajudá-las a lidar melhor com as novas oportunidades e desafios do mercado global.
