Ventas Enters Agreement to Sell Common Stock

Gross Proceeds Expected to Be Approximately $168.6 Million

LOUISVILLE, Ky., Jan. 29 /PRNewswire-FirstCall/ -- Ventas, Inc. (NYSE: VTR) ("Ventas" or the "Company") announced today that it has agreed to sell 3,900,000 shares of its common stock to UBS Investment Bank, as sole underwriter, in an underwritten public offering. The Company has also granted UBS Investment Bank a 30-day option to purchase up to an additional 585,000 shares of common stock to cover overallotments, if any. Gross proceeds from the offering (before deducting the underwriting discount and expenses) are expected to be approximately $168.6 million (or $193.9 million if the underwriter's overallotment option is exercised in full). The Company will use the net proceeds to repay indebtedness outstanding under its revolving credit facility and for other general corporate purposes, including acquisitions. Completion of the offering is subject to customary closing conditions.

The shares of common stock are being offered under the Company's existing shelf registration statement, which became automatically effective upon filing with the Securities and Exchange Commission.
