InfuSystem Holdings Provides Business Update and Comments on First Quarter 2008 Financial Results

operating loss of ($1.2 million) for the same period in 2007. The increase in operating income for the first quarter of 2008 reflects revenue and operating expenses recorded for InfuSystem, Inc. following the acquisition. The Company also incurred unusually high auditing, legal and other expenses related to the Form 10-K filing during the first quarter, due to the fact this was the Company's first annual report as an operating company, as well as the requirement to include in the Form 10-K certain pre-acquisition financial statements and footnotes of InfuSystem, Inc. (while under I-Flow ownership).

The net income for the first quarter of 2008 was $4.8 million, or $0.29 per diluted share, compared to net income of $1.8 million or $0.08 per diluted share, for the same period in 2007. The net income for the first quarter of 2008 included a $5.2 million gain on derivative financial instruments, compared to a $2.0 million gain for the first quarter of 2007.

Adjusted EBITDA for the first quarter ended March 31, 2008 was $2.0 million, as compared to an Adjusted EBITDA loss of approximately ($566,000) for the same period of 2007. The Company defines Adjusted EBITDA as earnings before interest, taxes, depreciation and amortization, and excludes both gain/loss on derivative financial instruments, as well as stock-based compensation. Adjusted EBITDA is not a measure of performance calculated in accordance with accounting principles generally accepted in the United States ("GAAP"), and should not be considered in isolation of, or as a substitute for, earnings as an indicator of operating performance, or cash flows from operating activities as a measure of liquidity. The Company believes the presentation of Adjusted EBITDA is relevant and useful by enhancing the readers' ability to understand the Company's operating performance.
