                 PROPOSED SETTLEMENT OF CLASS ACTION

    TO:  ALL PERSONS WHO PURCHASED OR ACQUIRED THE COMMON STOCK OF SUNRISE
         SENIOR LIVING, INC. ("SUNRISE") BETWEEN FEBRUARY 26, 2004 AND JULY
         28, 2006, INCLUSIVE, AND WERE DAMAGED THEREBY (THE "CLASS").

         PLEASE READ THIS NOTICE CAREFULLY. YOUR RIGHTS WILL BE AFFECTED BY
         A CLASS ACTION LAWSUIT PENDING IN THIS COURT.


YOU ARE HEREBY NOTIFIED, pursuant to Rule 23 of the Federal Rules of Civil Procedure and an Order of the United States District Court for the District of Columbia, (i) of the pendency of this action (the "Action") as a class action on behalf of the Class described above, except for certain persons and entities who are excluded from the Class by definition; and (ii) that a settlement for $13,500,000 in cash has been proposed. A hearing will be held before the Honorable Reggie B. Walton, U.S. District Judge for the United States District Court for the District of Columbia, at the E. Barrett Prettyman United States Courthouse, 333 Constitution Avenue, N.W., Courtroom 5, Washington, D.C. 20001 at 2:00 p.m. on June 26, 2009 (i) to determine whether the proposed Settlement should be approved by the Court as fair, reasonable, and adequate; (ii) to determine whether the Released Claims against Defendants and the other Released Persons should be dismissed with prejudice; (iii) to determine whether the proposed
