(A) The company's total diluted share count on a non-GAAP & GAAP basis for

the three and nine months ended September 27, 2008 and the nine months

ended September 29, 2007 includes approximately 7.3 million shares

underlying its convertible notes as they were dilutive for the quarter

and year to date.

(B) The Make-whole provision is included in non-GAAP earnings for the

three and nine months ended September 27, 2008.
