PharmaNet Development Group Gives Notice of Anticipated Fundamental Change and Merger to Holders of Its Convertible Notes

se the holders of the Convertible Notes will be entitled to receive consideration with a greater value upon a repurchase of the Convertible Notes following a Fundamental Change as compared to the payment they would be entitled to receive following a conversion of their Convertible Notes.
